• Job Description

  1. Legal Professional Consultancy Work
  - Provide expert legal advice and support on all aspects of mergers and acquisitions (M&A), including due diligence, negotiation, drafting of transaction documents, regulatory compliance, and post-merger integration.
  - Provide other expert legal advice and consultancy services to clients, encompassing a wide range of legal matters including corporate, commercial, labor, intellectual property, competition, and compliance laws.
  - Conduct thorough legal research, draft legal documents, review contracts, and advise on legal implications to ensure compliance and mitigate risks.
  - Manage and represent clients in litigations, arbitrations, and other legal proceedings when necessary.
  
  2. The Platform Development and Target Company Sourcing
  - Based on investment requests from investors, search, evaluate and contact target companies in order to find suitable targets with respect to strategic fit, financial performance, and growth potential.
  - Proactively identify potential M&A opportunities through various channels, including market research, industry events, and networking.
  - Build and maintain relationships with business partners, including investment banks, advisory firms, and other intermediaries.
  - Work closely with business partners to source potential investors, negotiate terms, and facilitate deal execution.
  - Leverage partnerships to expand and maximize opportunities for successful transactions.
  
  3. In-House Lawyer
  - Support in legal matters for the Thailand office, ensuring compliance with relevant corporate and regulatory laws.
  - Identify and mitigate legal risks and liaise with government authorities as needed.
  - Manage corporate documentation, including maintenance of corporate records, licenses, and compliance requirements.
  - Support in legal and operational issues related to internal and external stakeholders on daily business operations and strategic initiatives.
